Account Registration
To use certain features of the TRUDA Service, you may be required to create an account. You must provide accurate and complete information when registering for an account, and you are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify TRUDA immediately of any unauthorized use of your account or any other security breach.

License to Use TRUDA Service
TRUDA grants you a limited, non-exclusive, non-transferable, revocable license to use the TRUDA Service for your own internal business purposes, subject to these Terms. You may not sublicense, sell, or otherwise transfer the TRUDA Service to any third party.

Prohibited Conduct
You agree not to use the TRUDA Service for any unlawful or prohibited purpose, including but not limited to:

a. Violating any applicable laws, regulations, or third-party rights;
b. Uploading or transmitting any harmful, offensive, or otherwise objectionable content;
c. Interfering with the operation of the TRUDA Service or disrupting the servers or networks connected to the TRUDA Service;
d. Reverse engineering, decompiling, or disassembling any part of the TRUDA Service;
e. Accessing or using the TRUDA Service in a way that could harm, disable, overburden, or impair TRUDA’s servers or networks;
f. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
g. Using any automated means, including but not limited to bots, crawlers, or scripts, to access or collect information from the TRUDA Service; and
h. Circumventing or attempting to circumvent any security or authentication measures of the TRUDA Service.

Intellectual Property Rights
TRUDA retains all rights, title, and interest in and to the TRUDA Service, including all intellectual property rights. You may not use the TRUDA name, logo, or trademarks without TRUDA’s prior written consent.

Termination
TRUDA may suspend or terminate your access to the TRUDA Service at any time and for any reason, without notice or liability. Upon termination, your license to use the TRUDA Service will automatically terminate, and you must immediately cease all use of the TRUDA Service.

Disclaimer of Warranties
THE TRUDA SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TRUDA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TRUDA DOES NOT WARRANT THAT THE TRUDA SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability
IN NO EVENT SHALL TRUDA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE TRUDA SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF TRUDA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification
You agree to indemnify, defend, and hold TRUDA, its officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or in connection with your use of the TRUDA Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

Modifications to the TRUDA Service
TRUDA reserves the right to modify, suspend, or discontinue the TRUDA Service at any time, with or without notice. TRUDA shall not be liable to you or any third party for any modification, suspension, or discontinuation of the TRUDA Service.

Third-Party Links and Content
The TRUDA Service may contain links to third-party websites or resources. TRUDA does not endorse or control such third-party websites or resources and is not responsible for their availability, content, or accuracy. You acknowledge and agree that TRUDA is not liable for any loss or damage caused by your use of or reliance on any third-party websites or resources.

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Romania. Any legal suit, action, or proceeding arising out of or relating to these Terms or the TRUDA Service shall be instituted exclusively in the courts.

Entire Agreement
These Terms constitute the entire agreement between you and TRUDA regarding your use of the TRUDA Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether oral or written, regarding the same subject matter.

Waiver and Severability
TRUDA’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions of these Terms shall remain in full force and effect.

Assignment
You may not assign or transfer these Terms, in whole or in part, without TRUDA’s prior written consent. TRUDA may freely assign or transfer these Terms without restriction.

Termination
TRUDA reserves the right to terminate or suspend your access to the TRUDA Service at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the TRUDA Service will immediately cease, and you must cease all use of the TRUDA Service and delete any TRUDA-related materials in your possession.

Survival
Sections Intellectual Property, Indemnity, Governing Law and Jurisdiction, and Entire Agreement shall survive any termination or expiration of these Terms and shall continue in full force and effect.

Force Majeure
TRUDA shall not be liable for any failure or delay in the performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, acts of government, acts of terrorism, natural disasters, war, labor disputes, power outages, or equipment failures.

Relationship of Parties
No agency, partnership, joint venture, or employment relationship is created between you and TRUDA as a result of these Terms. You do not have any authority to bind TRUDA or make any representations or warranties on behalf of TRUDA.

Feedback
You may provide feedback to TRUDA regarding the TRUDA Service, including but not limited to suggestions, comments, ideas, or reports of problems (collectively, “Feedback”). You hereby grant TRUDA a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable right and license to use, modify, adapt, publish, translate, create derivative works of, distribute, publicly display, and otherwise exploit any Feedback provided by you.

Electronic Communications
By using the TRUDA Service, you consent to receive electronic communications from TRUDA, including but not limited to emails, notices, and messages. You agree that any such electronic communications satisfy any legal requirement that such communications be in writing.

Headings
The headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

Language
These Terms may be translated into multiple languages for your convenience, but the English version shall prevail in case of any conflict or discrepancy between the translations.
